How to Officially Register as a Freelancer with a Limited Company in Barcelona

Starting a fresh new business is no easy decision. Whether it’s your first ever company or your tenth, there’s always plenty to think about and numerous legal hoops to jump through. Becoming a freelancer in Barcelona is well worth the hassle.

Barcelona is something of a prima donna when bureaucracy is concerned. There’s plenty to do and it’s gotta be done right. Our sole intention is to guide you through the ordeal of starting a limited company in Barcelona in an as easy and simple way possible.


Step 1: Ensure Your Documents Are Up-To-Date

Before proceeding to set up a company in Barcelona, you’ll need to have all of the up-to-date paperwork in hand. Expats living in Barcelona need to have a social security number, a NIE number, and be officially registered as Autonómo (freelancer).


Step 2: Get Yourself a Gestor


Your gestor is similar to an accountant but who has the all-around essential knowledge of your financial and tax obligations. He or she will help by registering you to different appointments, do your financial and legal paperwork, tell you what needs to be done and when, and will represent you at the tax office. A gestor is a must in order to become a successful freelancer in Barcelona.


Step 3: Check The Availability of Your Business Name


When setting up your own company, you must check the Registro Mercantil. You may visit their website in English and search for the company name there. If you don’t find it, then you’re free to submit an official application.


Step 4: Open Up a Business Bank Account


Before doing anything else, you must open up a bank account. You’ll have to deposit at least 3,000 Euros in order to open a bank account for a limited company (Sociedad Limitada).


Step 5: Receive a Temporary Tax Number

You’ll now have to get yourself a temporary tax number, called CIF, from the tax office (CIF from the Delegación de Hacienda). You’ll need to show the certificates from the Registro Mercantil, your business address, your residence permit and your personal identification documents.

Step 6: Sign an Incorporation Deed


The Deed of Incorporation, in Spanish Escritura de Constitucion, is a legal paper that documents your business partnership agreement, as well as the amount of shares all partners receive and various other conditions. In accordance with the Spanish law, one most sign this with his partners in front of the notary. For this, you’ll need to have the Registro Mercantil’s certificate that proves you’ve reserved your business name, your provisional CIF, as well as a bank certificate proving your deposit of at least 3000 Euros.


Step 7: Time to Pay Some Taxes As a Freelancer in Barcelona


Remember that money you deposited into your business bank account? Well, it’s now time to pay 1% tax on it. The tax, called Asset Transer Tax, needs to be paid within thirty days of signing the Escritura de Constitucion. Freelancers in Barcelona aren’t exempt from paying taxes.


Step 8: Register Your Company Officially


It’s finally time to go back to your Registro Mercantil and load off all of that paperwork. At this point, you will be going through the bureaucratic storm. During this process, you’ll most likely experience contradictions, mistakes and delays from various banks, civil servants and different offices. Breathe deeply. Listen to your gestor and always be persistent when something goes wrong. Becoming a freelancer in Barcelona is worth it in the long run!
